About This Role

Corporate Functions help deliver our strategy and plans for growth. We shape and steer the direction of the business by managing our people, finances, shared services and buildings. We also oversee our legal, regulatory and compliance obligations too.

The Company Secretarial team plays a leading role in ensuring that the BT Group and the Board complies with good corporate governance practice and associated laws and regulations. We support great decision-making across the business, make the complex simple and help drive the group’s success.

This job is key to providing support in relation to the BT Group plc Board and Committees, underlying governance framework and related matters. This role is also responsible for Share Registration.

You’ll Have The Following Responsibilities

  • Lead and oversee drafting of key sections of the Annual Report and related documents, including the Corporate Governance Report and Section 172 Statement
  • Support the non-executive directors, including oversight of inductions, evaluations and appointments as necessary
  • Responsibility for overseeing and managing the group-wide Delegations of Authority Framework and the running of the Delegations of Authority Sub-Committee
  • Act as a BT Group director/secretary on group subsidiary entities as required
  • Responsible for Diligent, our electronic board paper system including agreement of the budget
  • Overall responsibility for the governance related areas of the BT Group plc website and internal intranet
  • Advise on compliance with corporate governance regulations and legislation
  • Draft, review and/or release ad hoc RNS announcements and related processes
  • Oversee the potential related parties transactions process
  • Support with ad hoc corporate and departmental projects
  • Contribute to the development of relevant knowledge sharing and training areas for the team and ensure effectiveness of processes
  • Contribute to delivering the team’s strategy and strategic priorities
  • Deputise for the Deputy Company Secretary as appropriate and provide any such support to the Deputy Company Secretary as required to meet business needs

You’ll Have The Following Skills & Experience

  • Comprehensive understanding of the role of the Company Secretary with five or more years company secretarial experience in a FTSE 250 listed organisation or professional services environment
  • ICSA qualified (not essential for someone who has number of years’ experience gained in a FTSE listed company secretarial environment)
  • Demonstrate a thorough knowledge of company secretarial matters commensurate with the position
  • Excellent knowledge of company law, corporate governance regulation and legislation, and best practice guidance
  • Strong understanding of the workings of Board and Committees in plc companies
  • Demonstratable network of strong working relationships
  • Advocating and applying technology, including where it has not been used previously
  • Delivered results when the deliverables were unclear
